Terms of Service

Acceptance of Terms

By accessing or using the services provided by Foundational e-Business Services, a division of Paragon Consulting Services, Inc. (“Foundational,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Foundational provides managed B2B integration services including EDI transaction management, API integration, Value Added Network (VAN) services, e-business consulting, and related professional services. The specific scope of services provided to each customer is defined in a separate service agreement or statement of work executed between Foundational and the customer.

Customer Responsibilities

Customers are responsible for providing accurate information necessary to configure and maintain their integrations, ensuring their trading partner relationships and compliance obligations are communicated to Foundational in a timely manner, and maintaining appropriate access credentials and security practices for any systems connected to Foundational’s platform.

Intellectual Property

All software, systems, mapping configurations, and proprietary methods used by Foundational to deliver its services remain the intellectual property of Paragon Consulting Services, Inc. Customer data processed through Foundational’s platform remains the property of the customer.

Confidentiality

Foundational treats all customer data, trading partner information, transaction data, and business information as confidential. We do not sell, share, or disclose customer information to third parties except as required to deliver contracted services or as required by law. Full confidentiality terms are detailed in individual customer service agreements.

Limitation of Liability

Foundational’s liability in connection with any service is limited to the fees paid by the customer for the specific service giving rise to the claim in the three months preceding the claim. Foundational is not liable for indirect, incidental, consequential, or punitive damages. Foundational makes reasonable efforts to maintain platform availability but does not guarantee uninterrupted service.

Modifications to Services or Terms

Foundational reserves the right to modify these Terms of Service at any time. Material changes will be communicated to active customers. Continued use of our services following notice of changes constitutes acceptance of the updated terms.

Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Butler County, Pennsylvania.
